Sweeps Rules

NO PURCHASE OR PAYMENT NECESSARY TO PARTICIPATE. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE A PLAYER’S CHANCES OF WINNING. GAMES ARE VOID WHERE PROHIBITED BY LAW. ALL GAMES ARE OFFERED FREE OF CHARGE AND STRICTLY FOR PRIVATE ENTERTAINMENT AND AMUSEMENT PURPOSES ONLY. NO GAMES OR ANY INFORMATION RELATED TO OR RESULTING FROM THE OPERATION OF ANY GAMES MAY BE USED IN ANY WAY FOR ANY GAMBLING OR WAGERING PURPOSES, OR FOR ANY OTHER ILLEGAL OR PROHIBITED ACTIVITY. Reel Rush Enterprise LLC is an online platform that offers an online social players club and offers users the chance to play games for entertainment and amusement purposes. Reel Rush Enterprise LLC offers two modes of gameplay: (1) Standard Play Games, and (2) Sweepstakes Games (collectively, the “Games”). Standard Play Games are games played with “Reel Rush Enterprise LLC Tokens.” Reel Rush Enterprise LLC Tokens are provided solely for the purpose of participating in Standard Play Games, have no real-world monetary value, and cannot be redeemed for Prizes, cash, or any other form of currency. Reel Rush Enterprise LLC also gives away sweepstakes entries referred to as “Sweeps Tokens.” Sweeps Tokens can be used to participate in Sweepstakes Games for a chance to win Sweeps Coins that are redeemable for real Prizes. These Sweeps Rules (“Sweeps Rules”) govern and control REEL RUSH ENTERPRISE LLC d/b/a Reel Rush Enterprise LLC “Reel Rush Enterprise LLC” give away of sweepstakes entries referred to as “Sweeps Tokens” and operation of Sweepstakes Games. Your entry in a Sweepstakes Game constitutes your acceptance of these Sweeps Rules and any and all other terms and conditions relating to Reel Rush Enterprise LLC operation of its website http://reelrush.online (the “Website”) and/or providing of services relating thereto, including, without limitation, the Terms of Use and our Privacy Policy. In the event you do not agree or wish to be bound by these Sweeps Rules, or our Terms of Use and/or Privacy Policy, your sole remedy shall be to not access Sweepstakes Games and/or to withdraw and discontinue your participation on the Website. You expressly agree and acknowledge that any and all dispute regarding your participation in a Sweepstakes Game shall be resolved in accordance with the provisions contained herein and/or the Terms of Use. All capitalized terms undefined herein shall have the meaning provided to it in our Terms of Use.

1Eligibility 1.1. Sweepstakes Games are open only to legal residents of the Permitted States. All Sweepstakes Game Players must be at least eighteen (18) years old at time of entry. “Permitted States” means the United States, excluding the State of Washington and Idaho. Participation is void where prohibited by law. 1.2. Each Sweepstakes Game shall begin at the start time designated for such Sweepstakes Game on the Website, and shall end upon the determination of a winner, or at such other time as designated by these Sweeps Rules (“Sweepstakes Game Period”). 1.3. A person who participates in a Sweepstakes Game is a “Sweepstakes Game Player”. 1.4. A person who participates in a Standard Play Game is a “Standard Play Game Player.” 1.5. Standard Play Game Players and Sweepstakes Game Players are collectively referred to as “Players.” 1.6. Reel Rush Enterprise LLC Tokens and Sweeps Tokens are collectively referred to as “Tokens.” 1.7. Sweepstakes Games are subject to all applicable federal, state, and local laws and regulations. It is the sole responsibility of a Sweepstakes Game Player to determine whether participation in a Sweepstakes Game is legal and compliant with all regulations in the jurisdiction in which the Sweepstakes Game Player resides. 1.8. Employees (including, without limitation, part-time or temporary employees) of Reel Rush Enterprise LLC, and any of Reel Rush Enterprise LLC contest sponsors and their respective parent entities, subsidiaries, affiliated companies and advertising and promotion agencies, and the immediate family and other household members (i.e., spouses, parents, grandparents, children, grandchildren, roommates, housemates, significant others, partners, siblings (half and full) and the steps of each of the foregoing) of each of the above are NOT eligible to enter and/or to win Sweepstakes Games. 1.9. Participation in a Sweepstakes Games constitutes the Sweepstakes Game Player’s full and unconditional agreement to these Sweeps Rules and Reel Rush Enterprise LLC decisions, which are final and binding in all matters related to the Sweepstakes Games. 2. Entry 2.1. In order to enter a Sweepstakes Game, you must be a registered user of the Website, have at least the minimum amount of Sweeps Tokens in your Account required for entry, and enter a Sweepstakes Game in accordance with these Sweeps Rules. 2.2. To register for an Account, please v isit the Website. 3. How To Collect Tokens 3.1. You may collect Reel Rush Enterprise LLC  Tokens in one of the following ways: a. Registering an Account / “Daily Bonus” Giveaways. Each Player will automatically receive free Reel Rush Enterprise LLC Tokens upon registering an Account on the Website. Each Player will also receive Reel Rush Enterprise LLC Tokens whenever the Player logs into his/her Account and elects to claim a “daily bonus.” b. Participation in Standard Play Gams. Each Player may earn Reel Rush Enterprise LLC Tokens from participation in Standard Play Games. c. Promotional Giveaways. Each Player will have the right to receive free Reel Rush Enterprise LLC Tokens by participating in no-cost giveaways hosted by Reel Rush Enterprise LLC and/or through social media platforms affiliated with Reel Rush Enterprise LLC from time to time. Giveaways will be at no cost and the amount of Reel Rush Enterprise LLC Tokens given away will be stated for the applicable giveaway. Reel Rush Enterprise LLC Tokens will be credited to each contest winners 3.2. You may collect Sweeps Tokens in one of the following ways: Account upon completion. • Accessing the Website. Each Player will automatically receive free Sweeps Tokens upon registering an Account on the Website. • Free Daily Spins. Each Player may receive free Sweeps Tokens on a daily basis by logging on to his/her Account and participating in “free daily spins” offered by the Website and that allow users to claim a daily bonus. • As a Free Bonus When Purchasing Reel Rush Enterprise LLC Tokens. Each Player will automatically receive Sweeps Tokens as a free bonus when purchasing Reel Rush Enterprise LLC Tokens. The amount of Sweeps Tokens a Player will receive as a bonus with purchase of a bundle is stated on the Website. All purchases of bundles are final.

• Entering Sweeps Tokens no-cost giveaways. Each Player will have the right to receive free Sweeps Tokens by participating in no-cost giveaways hosted by Reel Rush Enterprise LLC and/or through social media platforms affiliated with Reel Rush Enterprise LLC from time to time. Giveaways will be at no cost and the amount of Sweeps Tokens given away will be stated for the applicable giveaway. Sweeps Tokens will be credited to each contest winners Account upon completion. • Refer-a-Friend Bonus. Each Player will automatically receive free Sweeps Tokens for referring a friend who registers an Account on the Website. 3.2. The amount of Tokens a Player has will be displayed in their Account on the Website. Reel Rush Enterprise LLC reserves the right to change the amount of Tokens allocated to Players in its sole discretion. 3.3. Use of any automated or other system(s) to acquire Tokens or play the Games is prohibited and will result in disqualification and loss of eligibility to participate in the Games. Tokens may be forfeited if a Player’s Account is deactivated for any reason, including, without limitation, violation of these Sweeps Rules and/or Terms of Use. 3.4 Sweeps Tokens are only valid for ninety (90) days from the date the user acquires the Sweeps Tokens to their Account and will then automatically expire. 4. Playing Sweepstakes Games 4.1. Reel Rush Enterprise LLC reserves the right to offer various Sweepstakes Games as determined in its sole discretion. The amount of Sweeps Tokens required to play any Sweepstakes Game will be made known to each Sweepstakes Game Player prior to the beginning of the Sweepstakes Game. 4.2. Only Sweeps Tokens that have been won upon the completion of a Sweepstakes Game can be redeemed for Prizes. 4.3. All Reel Rush Enterprise LLC decisions regarding the operation of a Sweepstakes Game shall be final and binding. 4.4. Reel Rush Enterprise LLC reserves the right to modify, alter, or change the rules, regulations, and Prize amounts of any Sweepstakes Game at any time in its sole discretion. All changes shall be made known on the Website prior to the beginning of a Sweepstakes Game. Each Sweepstakes Game Player acknowledges that he/she shall be responsible for staying up to date with any and all changes made to Reel Rush Enterprise LLC operation of Sweepstakes Games. In the event of modifying a Sweepstakes Game, a Sweepstakes Game Player’s continued participation in the Sweepstakes Game constitutes acceptance of the modified terms. 4.5 Unless Reel Rush Enterprise LLC requires otherwise, any Sweeps Tokens allocated to a Player are required to be played once before they are eligible to be redeemed for Prizes. Reel Rush Enterprise LLC may, in its sole discretion, require that any Sweeps Tokens allocated to a Player must be played a greater number of times in any combination of Sweepstakes Games before they are eligible to be redeemed for Prizes. 5. Winner Notification 5.1. No Sweepstakes Game Player may be allowed to redeem any winnings for Prizes until such Sweepstakes Game Player’s eligibility has been verified by Reel Rush Enterprise LLC. All decisions regarding verification of eligibility are final and binding. Prior to fulfilling any request for redemption, winners may be required to sign a Release Form/Declaration of Eligibility to confirm eligibility or to ascertain enough information to verify the winner’s eligibility to win Prizes. 5.2. Potential winners must comply with these Sweeps Rules and Terms of Use and winning is contingent upon fulfilling all requirements made known by Reel Rush Enterprise LLC. 5.3. The ability to redeem Sweeps Tokens won from participation in a Sweepstake Games for Prizes may be forfeited if a potential winner cannot be contacted, fails to properly execute and return the Release Form/Declaration of Eligibility within the required time period, fails to comply with these Sweeps Rules or Terms of Use, or if the Prize or Prize notification is returned as undeliverable. In the event that a potential winner of a Sweepstakes Game is disqualified or ruled ineligible for any reason, such Prize shall be deemed forfeited and Reel Rush Enterprise LLC reserves the right to award the applicable Prize to the next placed winner in the Sweepstakes Game (if applicable). 6. Prize Redemption 6.1. A Player’s Tokens balance is stated in the Player’s Account. Tokens may not be sold, transferred, assigned, gifted, traded or sublicensed (including for monetary exchange or for any other value). Tokens (other than Sweeps Tokens won from participating in a Sweepstakes Game) cannot be redeemed for Prizes. 6.2. All redemptions of Sweeps Tokens won from participation in a Sweepstakes Game will be paid out in USD using a third party payment provider authorized by Reel Rush Enterprise LLC, as amended from time to time. 6.3. We reserve the right to limit the amount of the minimum or maximum redemption value for any Prize per day as we deem fit in our sole discretion. In New York and Florida, the maximum redemption value for a Prize won from any one Game is USD $5,000 and any Prize with a value in excess of USD $5,000 will be reduced to a maximum value of USD $5,000. 6.4. Reel Rush Enterprise LLC is not responsible for any taxes or fees associated with a Prize redemption. Any and all taxes on a Prize, and any other expenses not explicitly stated herein, are the sole responsibility of the Prize recipient. 6.5. No substitution or transfer of Prize is permitted. Reel Rush Enterprise LLC reserves the right to substitute the listed Prize with another Prize of equal or greater value for any reason owing to circumstances outside Reel Rush Enterprise LLC reasonable control. 6.6. All winners will be notified by via the Website and/or by email associated with their Account. 7. Publicity By participating in a Sweepstakes Game, each Sweepstakes Game Player consents to the use of his/her name, voices, pictures, images, or other likeness for advertising, promotional and other purposes as determined by Reel Rush Enterprise LLC without further approval or compensation, worldwide, in perpetuity and in any and all forms of media, whether now known or hereafter devised (except where prohibited).

8. Disqualification.  Reel Rush Enterprise LLC reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the entry process, the operation of a Sweepstakes Game, the Website, or to be acting in violation of these Sweeps Rules or our Terms of Use. Any use of robotic, macro, automatic, programmed or the like entry methods will void all such entries by such methods. Reel Rush Enterprise LLC shall be the sole arbiter in all matters relating to Sweepstakes Games and the interpretation of these Sweeps Rules. Entry into a Sweepstakes Game constitutes agreement by all entrants to abide by these Sweeps Rules, our Terms of Use, as well as any other rules established by Reel Rush Enterprise LLC. 9. Limitations Of Liability And Release 9.1. By entering into a Sweepstakes Game, all Sweepstakes Game Players agree to release, indemnify, and hold harmless Reel Rush Enterprise LLC, and its respective parents, subsidiaries, affiliates, distributors, sponsors, contractors, suppliers and advertising, promotional and judging organizations and each of their respective employees, officers, directors, shareholders and agents (collectively, the “Releasees”) from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury sustained in connection with receipt, ownership, use, or misuse of a Prize, or while preparing for or connection with receipt, ownership, use, or misuse of a Prize, or while preparing for or participating in any qualifying or Prize-related activity, or in any other way related to participation in the Sweepstakes Game. 9.2. By entering into a Sweepstakes Game, all Sweepstakes Game Players agree to indemnify, defend and hold harmless Reel Rush Enterprise LLC and its Releasees from and against any and all claims, expenses, and liabilities (including reasonable attorneys/legal fees) arising out of or relating to a Sweepstakes Game Player’s participation in the Sweepstakes Game and/or Sweepstakes Game Player’s acceptance, use or misuse of Prizes. 9.3. Reel Rush Enterprise LLC and the Releasees are not responsible for any incorrect or inaccurate information, whether caused by Website users, Sweepstakes Game Players, or by any of the equipment or programming associated with or utilized in the Sweepstakes Games and assume no responsibility for (i) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from a Sweepstakes Game Player’s participation in a Sweepstakes Game or receipt or use or misuse of any Prize (ii) any error, omission, interruption, deletion, defect, or delay in operation or transmission on the Website, (iii) any computer, telephone, cable, satellite, network, electronic or Internet hardware or software malfunctions or failures, problems with connections or availability, (iv) garbled or jumbled transmissions, service provider/Internet/web site/use net accessibility or availability, (v) traffic congestion, (vi) unauthorized human intervention, or (vii) theft or destruction, tampering, or unauthorized access to entries and/or entry information. If, for any reason, a Sweepstakes Game is not capable of running as planned by reason of infection by computer virus, tampering, unauthorized intervention, fraud, tampering, technical failures, or any other causes beyond Reel Rush Enterprise LLC and/or the Releasees control, Reel Rush Enterprise LLC reserves the right, at its sole discretion, to cancel, terminate, modify or suspend such Sweepstakes Game and select the winner(s) from among all eligible entries received for that Sweepstakes Game prior to the action taken. 9.4. IN NO EVENT WILL Reel Rush Enterprise LLC OR THE RELEASEES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, other than A PLAYER’S actual out-of-pocket expenses ARISING OUT OF YOUR PARTICIPATION IN A GAME. WITHOUT LIMITING THE FOREGOING, PREMIUM GAMES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANT ABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON- INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS. 10. Dispute Resolution All disputes regarding these Sweeps Rules and/or your participation in any Sweepstakes Game shall be governed in accordance with the terms of the “Binding Arbitration and Dispute Resolution,” set forth in the Terms of Use. 11. Miscellaneous 11.1. These Sweeps Rules shall be governed by the internal substantive laws of the state Florida, without respect to its conflict of laws principles. 11.2. Nothing in these Sweeps Rules shall create or confer any rights or other benefits in favor of any third party except as expressly provided herein. 11.3. If you have any questions or concerns regarding these Sweeps Rules, please contact us at support@reelrush.online.  Reel Rush Enterprise LLC reserves the right to respond to questions and/or post updates and communications regarding the operation of a Sweepstakes Game on the Website. 11.4. All information collected from a Sweepstakes Game Player shall be subject to the terms set forth in Reel Rush Enterprise LLC Privacy Policy. Except as set forth herein, our Terms of Use shall govern all other provisions relating to your participation in the Games and/or use of the Website. 11.5 Reel Rush Enterprise LLC reserves the right to cancel, suspend and/or modify the Sweepstakes Games or these Sweeps Rules, with immediate effect, for any reason, including, without limitation, owing to circumstances outside its reasonable control, as determined by Reel Rush Enterprise LLC  in its sole discretion. Reel Rush Enterprise LLC reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes Games or to be acting in violation of these Sweeps Rules or any other promotion offered by the Website.
